CONSULTING TERMS AND CONDITIONS
Please carefully read the following terms and conditions before using the consulting services provided by Acuoia Growth Partners (hereinafter referred to as "we," "our," or "the Consultant"). By accessing and using our consulting services, you agree to be bound by these terms and conditions.
Consulting Services:
1.1. The Consultant agrees to provide professional consulting services in accordance with the highest standards of quality and professional ethics.
1.2. Consulting services include, but are not limited to, strategic advice, market analysis, business planning, and any other service agreed upon between the Consultant and the Client.Client Obligations:
2.1. The Client agrees to provide the Consultant with access to the information and resources necessary to effectively carry out the consulting services.
2.2. The Client agrees to fully collaborate with the Consultant and provide timely feedback during the duration of the services.Confidentiality:
3.1. Both parties agree to maintain the confidentiality of all information provided during the course of the consulting services, whether verbal, written, or otherwise.
3.2. The Consultant agrees not to disclose the Client's confidential information to third parties without the prior written consent of the Client.Intellectual Property:
4.1. All intellectual property rights arising from the consulting services, including, but not limited to, reports, analyses, recommendations, and any other materials created during the provision of the services, shall be the exclusive property of the Consultant, unless otherwise agreed upon in writing.
4.2. The Client may use the results of the consulting services solely for the purposes agreed upon between the parties and may not reproduce, disclose, or use such information for other purposes without the prior written consent of the Consultant.Fees and Billing:
5.1. The Client shall pay the Consultant the fees agreed upon for the consulting services, as stipulated in the service agreement.
5.2. Fees shall be invoiced in accordance with the terms agreed upon between the parties and shall be payable in the currency specified in the invoice.Limitation of Liability:
6.1. The Consultant shall not be liable for any direct, indirect, incidental, consequential, or special damages resulting from the use or inability to use the consulting services, even if the Consultant has been advised of the possibility of such damages.Modifications and Termination:
7.1. The Consultant reserves the right to modify these terms and conditions at any time by posting the revised version on its website.
7.2. Either party may terminate the consulting services agreement by providing written notice to the other party at least 30 days in advance.
Dispute Resolution:
In the event of any disputes arising from the use of our consulting services, both parties agree to first attempt to resolve the matter amicably through negotiation and discussion. If a resolution cannot be reached, either party may seek legal recourse in accordance with the laws of applicable jurisdiction.
By accepting these terms and conditions, the Client acknowledges having read, understood, and agreed to all the terms and conditions set forth above.
